Terms of Service

Agreement and Acceptance

By accessing or using RomanAssist.AI or the Scribe service, you agree to these Terms of Service. If you use the service on behalf of a business, you represent that you have authority to bind that business to these terms.

The Service

Scribe is a branded content service that creates a Champion voice profile, generates educational content, and supports multi-platform publishing on behalf of clients. The service is provided on an as-is and best-effort basis.

Your Account

• You must provide accurate and current information.
• You are responsible for maintaining the security of your account and connected systems.
• You are responsible for actions taken under your account.
• You must be at least 18 years old and authorized to act for your business.

Fees and Billing

• $199 one-time setup fee.
• Per-post pricing: $15 for WordPress and Wix, $8 for LinkedIn, Google Business Profile, and Facebook. Images are always included.
• Minimum 3 platforms required.
• Minimum 3 posts per week per platform.
• Monthly invoicing based on actual posts published.
• Payment via Stripe, including card or ACH where available.
• Failed payments may result in service pause after 7 days and account termination after 30 days.
• Setup fees are non-refundable.
• Unpublished content does not incur charges.

Content Ownership

• The client owns generated content once published.
• The client retains ownership of business information, Champion description, and brand materials they provide.
• RomanAssist.AI retains ownership of the service infrastructure, expanded AI Champion voice profile, templates, prompts, methodology, and aggregate de-identified performance data.

Acceptable Use

Clients may not use the service to generate illegal, fraudulent, deceptive, defamatory, harassing, discriminatory, hateful, infringing, or otherwise unlawful content. Clients may not use the service to create misleading medical, financial, or legal advice presented as professional counsel, or politically divisive content outside a normal business context.

Platform Credentials

You authorize RomanAssist.AI to publish on your behalf using the platforms you connect. You are responsible for the accuracy of credentials and for maintaining valid access. You may revoke publishing access at any time.

Content Review and Approval

Clients have an opportunity to review content before publication. If no response is received within 7 days, RomanAssist.AI may publish according to the client’s default settings. Clients are responsible for the accuracy of factual claims associated with their business.

Cancellation

You may cancel anytime by emailing info@romanassist.ai. There are no long-term contracts or early termination fees. Publishing stops upon cancellation. Content remains accessible for 12 months after cancellation. Setup fees are non-refundable.

Termination by RomanAssist.AI

RomanAssist.AI may terminate accounts that violate these terms and may terminate service with 30 days notice for any reason. On termination, we will provide a data export where reasonably feasible.

Service Limitations and Disclaimers

• Availability is best-effort and not guaranteed.
• Third-party platform changes may affect publishing capabilities.
• AI-generated content may occasionally contain errors.
• We do not guarantee specific SEO rankings, AI visibility, traffic, leads, or business outcomes.
• The service is provided as-is without warranties of merchantability or fitness for a particular purpose.

Limitation of Liability

To the maximum extent permitted by law, RomanAssist.AI’s total liability will not exceed the fees paid by the client in the 12 months preceding the claim. RomanAssist.AI is not liable for indirect, incidental, consequential, or special damages, or for actions taken by third-party platforms.

Indemnification

You agree to indemnify and hold harmless Colorado Business Technology, LLC and its affiliates from claims arising out of your misuse of the service, content you provide, or your violation of platform rules or these terms.

Intellectual Property

The Scribe name, RomanAssist.AI brand, Champion concept, and service infrastructure are property of Colorado Business Technology, LLC. Clients receive a license to use delivered content, but not the underlying service systems, templates, or methods.

Dispute Resolution

These terms are governed by the laws of the State of Colorado. Venue for disputes will be El Paso County, Colorado. Before starting formal legal action, the parties agree to attempt good-faith negotiation.

Changes to Terms

We may update these terms from time to time with notice. Continued use of the service after changes become effective constitutes acceptance of the updated terms.

Miscellaneous

• These terms constitute the entire agreement between the parties regarding the service.
• If any provision is found unenforceable, the remaining provisions remain in effect.
• A failure to enforce any provision is not a waiver.
• RomanAssist.AI may assign its rights and obligations in connection with a sale, merger, or reorganization.
